Start with the issuing entity
Use the legal buyer’s name and business address, the issue date, a document reference and an authorized signatory. If an agent prepares the document, distinguish the agent from the purchasing principal. A letterhead alone does not prove signing authority.
Describe a requirement that can be assessed
Include product and specification, quantity with a defined unit, shipment frequency, destination or loading location and delivery period. If a particular origin is required or excluded, state it explicitly. Avoid a broad product label that leaves technical acceptance unresolved.
Set out the commercial proposal
Identify the proposed delivery structure, named location, pricing basis where appropriate, payment approach and validity period. Make clear which points are proposals awaiting agreement. An ICPO should not accidentally accept a procedure that the buyer’s bank or operations team cannot perform.
A practical consistency check
Compare the ICPO against the seller’s offer and the buyer’s receiving plan. If the offer is for a single seaborne parcel but the ICPO describes monthly inland deliveries, the discrepancy needs discussion. Correct the underlying requirement before producing another signed version.
Avoid unnecessary disclosure
An initial ICPO does not need account passwords, personal identity scans or unrestricted banking records. Financial capability evidence, if requested, belongs in a separately verified and controlled process. Do not use a public inquiry form as a document vault.
What an ICPO cannot establish
It does not prove available funds, product availability or acceptance by the seller. Review proposed commitments with appropriate advisers and align them with the eventual contract.
